1. Acceptance of Terms

Welcome to Wordara ("the Platform"), an AI-enabled blogging service operated by Torrey Systems, LLC ("Company," "we," or "us"), located at 7670 Opportunity Rd Ste 255, San Diego, CA 92111. By accessing or using Wordara, you ("User" or "you") agree to these Terms of Service ("Terms"). If you do not agree, please refrain from using the Platform.

2. Description of Service

Wordara provides tools for creating, editing, and publishing blog posts, as well as AI-powered chat and content generation ("Services"). We may modify or discontinue the Services at any time without notice.

3. Eligibility

You must be at least 13 years old to use Wordara. If you are under the age of 18, you must have your parent's or guardian's permission.

4. User Content and Ownership

• User Content: You may upload text, images, or other materials ("User Content") to the Platform. You own all rights to your User Content.
• License to Company: By posting or otherwise sharing User Content on the Platform, you grant Torrey Systems, LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, and process your content for internal business operations (e.g., enhancing the AI's functionality, troubleshooting, analytics).
• No Endorsement: User Content does not reflect the views of the Company, and we do not endorse or guarantee the accuracy of any User Content.

5. AI Services

• Third-Party Services: We use OpenAI and may integrate with other third-party services for AI functionality. By using Wordara, you acknowledge that your content and data may be processed by these providers under their respective terms and privacy policies.
• Output Ownership: You own the rights to the AI-generated text ("Output") you receive through the chat or content-creation features. However, you grant us a license to use the Output as described in Section 4.2 for internal business purposes.

6. Prohibited Uses

You agree not to:

• Violate any applicable laws or regulations
• Upload malicious or harmful content (e.g., viruses, prompt injection, etc)
• Infringe on anyone's intellectual property, privacy, or other rights
• Interfere with or disrupt the Platform's operation or security
• Use the service to create or attempt to create violent, pornographic, or content that promotes illegal activity
• Attempt to utilize the service for purposes other than content creation
• Generate an excessive volume of requests
• Use the Platform to generate or publish "cringey," low-effort content on LinkedIn or any other platform, including repetitive, spam-like, or clickbait posts that degrade the quality and reputation of User Content.

We may occasionally monitor inputs to ensure compliance with these restrictions. We may also implement automated safeguards to prevent unauthorized usage.

7. Privacy

Your use of Wordara is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of your information as outlined in our Privacy Policy.

8. Intellectual Property

All trademarks, service marks, and logos on the Platform, other than those belonging to users, are the property of Torrey Systems, LLC or its partners. You must not use them without prior written permission.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available." We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Platform will be error-free or secure.

10. Limitation of Liability

To the extent permitted by law, Torrey Systems, LLC and its affiliates are not liable for indirect, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Platform, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Torrey Systems, LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, or damages arising out of or related to your violation of these Terms, your misuse of the Platform, or your infringement of any rights of a third party.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California. Any disputes arising under these Terms shall be resolved through binding arbitration in San Diego, CA, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes by posting a notice on our website or via email. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your license to use the Platform and Services will cease immediately.

15. SMS Communications

By opting in to SMS communications, you agree to receive text messages from Wordara at the phone number you provide. Message and data rates may apply. You acknowledge that:

• Text messages may be sent using an automatic telephone dialing system
• Your consent to receive texts is not required to use the Platform
• You can opt out at any time by texting STOP or through your account settings
• Message frequency varies based on your usage and preferences
• We may send service-related announcements, notifications, and responses to your interactions
• Your carrier's standard messaging rates apply
• SMS Service may be interrupted or disabled. We reserve the right to limit SMS interactions to paying subscribers.
